Terms of Service

1. Agreement

These terms govern use of the diagnostic platform provided by Virtuopo Ltd ("CID"). By creating an account or using the service you agree to them. A separate order form or agreement may set commercial terms; where it conflicts with these terms, the order form prevails.

2. Accounts

Admin accounts are created for named individuals at a provider. You are responsible for keeping credentials secure and for activity under your account. There is no public self-registration.

3. Acceptable use

  • Use the platform only for legitimate diagnostic and development purposes.
  • Do not upload unlawful content, or personal data you have no basis to process.
  • Do not attempt to breach isolation between tenants, probe security, or disrupt the service.
  • Respect the confidentiality model: individual respondent data must not be misused.

4. Intellectual property

The platform, its software and design are owned by CID. A provider's instruments, questionnaires and content remain the provider's intellectual property; the provider grants CID the licence needed to host and run them. Respondents' responses belong to the provider (as controller).

5. Data protection

Each party will comply with applicable data protection law. Where CID processes personal data on a provider's behalf, our Data Processing Agreement applies. See also our Privacy Policy.

6. Availability

We aim to keep the service available but do not guarantee uninterrupted access. We may perform maintenance and update features. Any service levels are set out in the order form.

7. Liability

Nothing limits liability that cannot be limited by law. Subject to that, neither party is liable for indirect or consequential loss, and each party's total liability is limited as set out in the order form, or capped at fees paid in the preceding 12 months. The diagnostic is a development tool and does not constitute professional, legal or HR advice.

8. Term & termination

Either party may terminate as set out in the order form or for material breach. On termination we will delete or return provider data in line with the DPA.

9. Governing law

These terms are governed by the laws of England and Wales, subject to the exclusive jurisdiction of its courts.
